Noir Valley Type Foundry

License Agreement

Noir Valley, a Riverside Art LLC type foundry

This is the license agreement in every font download, word for word. The copy in your download names the font and the style your license covers.

1. The agreement

This agreement is between Riverside Art LLC, trading as the Noir Valley type foundry, and you, the person or organization buying the license. The font software means the Noir Valley font files you downloaded, in every format, together with any updates we send you. Buying, downloading, or using the font software means you accept this agreement, and it is the whole agreement for the font software.

You own your license. We keep ownership of the font software and its designs. Buying a license does not transfer the design to you.

If you buy for a client or an employer, they can be the licensee instead of you. Tell us their name before you buy, or within 14 days after, and we will issue the license in their name once, at no charge. From then on they are bound by this agreement, and you use the fonts only as their contractor, for work the license covers. Until you name someone, the license is yours. It cannot be transferred any other way.

2. What each license covers

Desktop

Install and use the desktop fonts to make artwork, documents, logos, print, and static images.

Covers up to 5 people.

Desktop and starter web

Everything in the desktop tier, plus self-hosted web fonts on sites you or your client own. The pageview allowance is the total across every site you serve the fonts from, not a separate allowance for each site.

Covers up to 5 people and up to 250,000 pageviews a month.

Small studio

The desktop and starter web tier for a larger team: desktop fonts for more people, and self-hosted web fonts on sites you or your clients own. E-publication and app embedding are not included; each takes its own license. The pageview allowance is the total across every site you serve the fonts from, not a separate allowance for each site.

Covers up to 20 people and up to 1,000,000 pageviews a month.

E-publication

Everything in the desktop tier, plus embedding the fonts in one e-publication title you sell or give away: an ebook, a magazine or periodical with all its issues, or an interactive PDF offered to the public. A later edition of the same book with substantially the same content is the same title; a different book, a series volume, or a translation published as its own product is another title. A PDF sent to a client or printer for review or printing is a document under section 3, not an e-publication.

Covers up to 5 people and one e-publication title.

App

Everything in the desktop tier, plus embedding the fonts in an app you distribute, including its updates, on every platform it ships on. An app is one software product, games included, under one name and one store or web listing; apps with different names or listings, and builds made for different clients, are separate apps. A web app that sends the font files to browsers is web use and needs a web tier.

Covers up to 5 people, one app, and up to 100,000 installs or monthly active users, whichever you track.

More apps or titles, broadcast, OEM, and large organization

A catalog of apps or titles under one agreement, an app past the App tier's installs or monthly active users, web use past the Small studio pageview allowance, apps whose users type their own text and export it in the fonts (an editor, a poster or sticker maker), embedding in hardware or devices you distribute, broadcast use, and large-organization deployment are quoted separately and covered by their own written agreement.

A license covers the one style named at the top of this agreement; other styles need their own. If your use grows past the tier you bought, write to us and pay the difference between the two tiers' prices on our site that day; we would rather upgrade you than argue with you. A pageview is one load of a page that uses the web fonts, averaged over a month.

Licenses of the same tier add up for people: two Desktop licenses cover twice the people. Licenses of different tiers cover their own uses side by side: a Desktop and starter web license bought with an App license covers both. Two App licenses cover two apps; they do not raise one app's cap. Pageview allowances do not add up. Web use past the largest allowance above is quoted under the separate agreement, and your license keeps covering that use for 60 days while we agree it.

A large organization has more than 250 employees on its payroll on the day it buys, counted with its parent company and affiliates. It can buy the tiers above for up to 20 people in all; more people than that, and an advertising campaign it buys, need the separate agreement. A campaign here means paid media run across more than one channel; artwork, print, and signage a designer makes for the organization under section 3 are not one.

Each further app or e-publication title needs its own App or E-publication license. People means anyone, employee or contractor, who installs the desktop fonts or builds the product, counted at any one time: when someone leaves, their place passes to someone else. Opening a finished document or product that embeds the fonts does not count.

3. What you can do

4. What you cannot do

5. Trial font

Any trial or test file we publish is for personal, non-commercial evaluation only. It is not covered by the tiers above and must not be used in work you publish or sell.

6. Refunds and support

Because the files are delivered immediately, ask us within 14 days if something is wrong with your purchase and we will make it right or refund it. Support and license questions go to [email protected].

An App or E-publication license cannot be refunded once the fonts have shipped in a published app or title, unless the fonts themselves are defective.

7. No warranty, and the limit of what we owe

The font software is provided as it is. We do not promise it will work in every application, on every operating system, or for every purpose, and we give no warranties beyond those the law will not let us exclude. Nothing in this section limits liability for fraud, death, or personal injury caused by us.

If we are found liable to you for anything connected with the font software, what we owe is limited to the amount paid for the license the claim arises under. We are not liable for lost profit, lost work, or other indirect loss.

8. Ending the license

The license lasts until you end it or until you break its terms. If you break them, we will tell you in writing, and the license ends if you have not put it right within 30 days; sharing the font files ends it at once. If it ends, stop using the font software and delete the files. Copies of an app or e-publication distributed before it ended may stay in use and be downloaded again by people who already have them, but you may not ship new copies, versions, or updates. Sections 1, 4, 7, 8, and 9 survive.

9. Law and notices

This agreement is governed by the law of the State of Wyoming, United States. Written notices go to Riverside Art LLC at 30 N Gould St Ste N, Sheridan, WY 82801-6317, United States, or by email to [email protected]. We write to you at the email on your order.
